AYUÄ Terms of Service

1. Overview
Welcome to AYUÄ (“we”, “us”, “our”). AYUÄ is operated by MB Mineralus, a private limited liability company incorporated in Lithuania, with its registered address at Valdemaro Čarneckio g. 114, 11305 Vilnius, Lithuania.
These Terms of Service (“Terms”) govern your access to and use of our Shopify-powered online store and all related services (the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy.
Important: If you are a consumer residing in the European Union, mandatory consumer protection laws apply to you. Nothing in these Terms limits or excludes those rights.
2. Eligibility and Accounts
You must be at least the age of majority in your place of residence to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
3. Products and Descriptions
We make reasonable efforts to ensure that product descriptions, images, and pricing are accurate. However, product appearance may vary depending on device and screen settings. Product descriptions may be updated at any time.
Nothing in this section limits mandatory consumer rights under applicable law.
4. Orders and Contract Formation
Placing an order constitutes an offer to purchase. A binding purchase contract is formed only when we confirm acceptance of your order and payment has been successfully received.
5. Prices, Taxes, and Payment
All prices in the online store are displayed in EUR and include applicable VAT, unless stated otherwise at checkout.
We accept the following payment methods, as made available at checkout:
- online banking (Swedbank, SEB, Luminor, Citadele, Šiaulių bankas);
- payment cards (credit and debit);
- bank transfer.
Payments are processed through MakeCommerce, a licensed payment service provider. AYUÄ does not store or process full payment card details.
Payment is due immediately upon placing the order, unless otherwise stated at checkout. An order is confirmed once payment has been successfully received.
If payment is not successfully completed, the order will not be confirmed and will be automatically cancelled.
A VAT invoice will be issued electronically upon request or where required by applicable law.
6. Shipping and Delivery
Delivery times provided at checkout are estimates only.
- EU consumers: The risk of loss or damage to the goods passes to you only when you (or a third party designated by you) physically receive the goods.
- Non-EU customers: Risk of loss passes when the goods are handed over to the carrier, to the extent permitted by applicable law.
7. Returns and Refunds
Returns and refunds are governed by our Refund Policy.
- EU consumers: You benefit from a statutory 14-day right of withdrawal, as detailed in Section 18 of these Terms.
8. Intellectual Property
All content available through the Services, including trademarks, text, images, graphics, and design elements, is owned by AYUÄ or its licensors and is protected by applicable intellectual property laws. You may use the Services for personal, non-commercial purposes only.
9. Third-Party Services and Shopify
The store is powered by Shopify. All sales are made directly between you and AYUÄ. Shopify bears no responsibility for transactions completed through the store.
10. Privacy and Data Protection
Personal data is processed in accordance with our Privacy Policy and applicable data protection laws, including the GDPR for EU customers.
11. Feedback
If you submit feedback, reviews, or other content, you grant us a worldwide, royalty-free license to use such content for business and promotional purposes.
12. Prohibited Uses
You agree not to misuse the Services or violate applicable laws, including by engaging in fraudulent, harmful, or unlawful activities.
13. Termination
We may suspend or terminate access to the Services where required to protect our legitimate interests, subject to applicable law.
14. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available”.
EU consumers: This disclaimer does not affect your statutory warranty or consumer protection rights.
15. Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
EU consumers: Liability for death, personal injury, intent, gross negligence, and mandatory statutory remedies is not excluded.
16. Indemnification
You agree to indemnify AYUÄ for losses arising from unlawful use of the Services, subject to mandatory consumer protection laws.
17. Governing Law and Jurisdiction
- EU consumers: These Terms are governed by Lithuanian law, without depriving you of mandatory consumer protections of your country of residence. Disputes may be brought before competent courts under EU law.
- Non-EU customers: These Terms are governed by the laws of Lithuania, without regard to conflict-of-law rules.
18. EU Consumer Rights Addendum
This section applies only to consumers residing in the European Union.
18.1 Right of Withdrawal
You have the right to withdraw from the purchase contract within 14 days without giving any reason.
18.2 Withdrawal Period
The withdrawal period expires 14 days from the day on which you, or a third party designated by you, physically receive the goods.
18.3 How to Exercise the Right of Withdrawal
To exercise your right of withdrawal, you must inform us of your decision by email at info@ayua.shop using a clear statement.
18.4 Effects of Withdrawal
If you withdraw from the contract, we will refund all payments received from you, including standard delivery costs, within 14 days of being informed of your decision. Refunds will be made using the same payment method used for the initial transaction, unless otherwise agreed.
18.5 Return of Goods
You must return the goods without undue delay and no later than 14 days from the day you informed us of your withdrawal. You bear the direct cost of returning the goods, unless stated otherwise.
18.6 Statutory Guarantee
Goods are covered by a minimum two-year legal guarantee of conformity under EU law.
18.7 Dispute Resolution
If a dispute cannot be resolved directly, you may use the EU Online Dispute Resolution (ODR) platform or contact the competent Lithuanian consumer protection authority.
19. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated where required by applicable law. Changes apply only on a prospective basis.
